ROLE

The Director of Governance and Administration is a vital role on our small-but-growing entrepreneurial and dynamic team. This key leadership role is responsible for overseeing the governance processes and administrative functions of the Virginia Biotechnology Research Partnership Authority and the Virginia Biotechnology Research Park Corporation (501c3 nonprofit). This position requires a dynamic individual with strong organizational skills, attention to detail, and a passion for supporting the mission and values of the organization.

The Director will ensure that governance systems and processes across the Authority and 501c3 are developed, maintained, and continuously improved. This individual will seek to proactively elevate organizational performance across the three organizational pillars of ecosystem development, entrepreneurship development, and real estate. This position requires the ability to work effectively in a cross-functional team to advance the organization’s governance objectives and administrative project deliverables in a flexible, responsive, and collaborative manner.

This position is a full-time, salaried position with attractive benefits and is located in Richmond, Virginia.  The Director of Governance and Administration is a cross-functional role reporting to the President & Chief Executive Officer and the Vice President of Operations.

RESPONSIBILITIES

Governance

  • Proactively lead all governance activities acting as Corporate Secretary for the Authority, the 501c3, and all associated committees including but not limited to Finance & Audit, Governance, Entrepreneurship & Ecosystem, Real Estate, and associated 501c3 committees; ensuring compliance with all legal and regulatory requirements while managing all aspects of meeting logistics
  • Maintain an annual Governance calendar ensuring that all meetings are scheduled well in advance and project manage document deliverables working with multiple stakeholders to deliver accurate and timely board preparation materials
  • Work with leadership to schedule meetings, draft agendas, prepare meeting documents/resolutions, oversee meeting/event management, and take meeting minutes
  • Lead the onboarding process for new Board and Committee members
  • Maintain accurate records of all corporate governance documents
  • Work with the President & CEO on deliverables resulting from meetings

Administrative Operations

  • Develop and implement administrative procedures and policies to enhance organizational efficiency and productivity
  • Implement and maintain records management systems to ensure effective document storage, retrieval, and disposal following all recordkeeping guidelines and policies associated with our status as an Authority of the Commonwealth of Virginia
  • Maintain and update organizational policies, ensuring compliance with legal and regulatory requirements

Administration Systems Management

  • Map all systems that require organizational touch points ensuring access is open for the organization; systems including but not limited to federal/state systems, human resources systems, board management software, etc.
  • Work with the team to ensure system access for a variety of external reporting systems is accurate and up-to-date; working closely with system vendors when necessary
  • Streamline administrative processes and systems to optimize workflow, minimize redundancy, and improve overall effectiveness
  • Work with external vendors to oversee technology and IT infrastructure, ensuring effective utilization and troubleshooting of hardware and software systems

Human Resources Administration

  • Manage administrative onboarding of new employees including interview scheduling/onboarding agendas/new hire paperwork, manage health insurance and retirement benefits systems and processes, and other HR related projects as necessary

Executive Project Management

  • Project manage executive deliverables to move the organization forward including process improvement efforts, strategic planning initiatives, and special projects
  • Project type will vary in duration and complexity

 QUALIFICATIONS & EXPERIENCE

  • Requires bachelor’s degree; Masters degree preferred
  • Positive and proactive attitude with the highest degree of discretion and responsibility for handling confidential information
  • Minimum of five years supporting executive leaders with a focus on governance, corporate secretary duties, and/or HR support
  • Strong understanding of nonprofit governance principles and best practices; prior meeting minute taking experience, demonstrated board engagement duties, etc.
  • Exceptional written and verbal communicator with the ability to communicate with a variety of stakeholders
  • Excellent organizational and time management skills, with the ability to prioritize and manage multiple tasks simultaneously.
  • Experience leading multiple projects and collaborating with multiple stakeholders/partners to meet objectives
  • Demonstrated experience in implementing and managing administrative systems and processes
  • PowerPoint expertise is a major plus
  • Experience with Monday.com is a positive but not required
  • Familiarity with Google suite of products a positive but not required
  • Ability to learn new technology quickly required including board management portals
